These Terms of Service (the "Terms") are a binding agreement between you and kōdo ("kōdo," "we," "us," or "our") and govern your access to and use of the kōdo platform, websites at gokodo.io, applications, and related services (together, the "Service"). Please read them carefully.
By creating an account, starting a free trial, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
kōdo is a platform for direct-sales leaders, closers, coaches, and team builders. It provides sales-pipeline and contact management, team performance tracking, community and training tools, calendar and booking, document/agreement creation, messaging, and an AI coaching assistant. Features vary by subscription plan and may change over time.
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is not directed to children, and we do not knowingly permit anyone under 18 to create an account. You are responsible for complying with all laws that apply to your use of the Service.
You must provide accurate account information and keep it current. You are responsible for all activity under your account and for keeping your credentials confidential. We strongly recommend enabling multi-factor authentication (MFA) where available. Notify us promptly at support@gokodo.io if you suspect unauthorized access. You may not share accounts or let others use your login except as expressly permitted by your plan.
An "Arena" is a workspace on kōdo operated by an "Arena Owner." Arena Owners may invite "Members" to join their Arena. Arena Owners control their Arena's configuration, content, member access, and any pricing they set for their own members, and are responsible for their relationship and any agreements with their Members.
kōdo is not a party to any agreement between an Arena Owner and its Members (including any coaching agreement, terms, or document created using kōdo's document tools). Arena Owners are solely responsible for the lawfulness, accuracy, and content of what they publish, send, or collect through their Arena. If you are a Member, your use of an Arena may also be subject to the Arena Owner's own terms.
Paid plans may include a free trial (currently 7 days for eligible plans). We may require a valid payment method to start a trial. Unless you cancel before the trial ends, your subscription will automatically begin and the payment method on file will be charged the applicable fee for your plan. Trial eligibility, length, and terms may change, and trials are limited to one per customer unless we state otherwise.
You may cancel at any time through your account's billing settings or the customer billing portal. Cancellation stops future renewals; it takes effect at the end of your current billing period, and you retain access until then. Except where required by law, fees already paid are non-refundable and we do not provide prorated refunds for partial periods. After cancellation or non-payment, your Arena and data may be retained for a limited period and then archived or deleted as described in our Privacy Policy.
We may offer referral incentives (for example, account credits for eligible Team and Community leaders based on members they bring to kōdo, or credits for referring new customers). Referral incentives are subject to additional eligibility rules and program terms, may require identity or tax information before any payout, may be changed or discontinued at any time, and may be withheld for abuse or fraud. Credits have no cash value except as expressly stated in the applicable program terms.
You agree not to, and not to allow anyone to:
The Service includes email and SMS/text messaging features (delivered through providers such as Twilio). If you use these features, you are solely responsible for obtaining all consents required to contact your recipients and for complying with all applicable laws and carrier rules, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and A2P 10DLC registration and messaging policies. You must honor opt-out requests, include required identifiers, and not send prohibited content. We may throttle, block, or suspend messaging that appears to violate these rules or that puts our messaging infrastructure at risk.
"Customer Data" means the content and data you and your Arena submit to the Service, including your leads, contacts, pipeline, notes, documents, and messages. As between you and kōdo, you own your Customer Data. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely to provide, secure, and improve the Service and as otherwise described in our Privacy Policy.
You represent and warrant that you have all rights and consents necessary to submit Customer Data — including personal information about your leads, contacts, and members — and to authorize us to process it. You are the controller of the personal information you enter about other people; where kōdo processes that information on your behalf, it acts as your processor. You are responsible for the accuracy, quality, and legality of your Customer Data.
The Service includes AI-assisted features (the "kōdo Coach" and similar tools) that generate suggestions and content, using third-party AI providers (such as Anthropic). AI output may be inaccurate, incomplete, or unsuitable for your situation and is not professional, legal, financial, or other advice. You are responsible for reviewing AI output before relying on or sending it. We may apply usage limits to AI features. Do not submit information to AI features that you are not permitted to share.
The Service integrates with third-party services (for example, payment, messaging, email, calendar, hosting, AI, and CRM integrations). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for third-party services. If you connect a third-party account, you authorize us to exchange data with it as needed to provide the integration.
The Service, including its software, design, and content we provide, and all related intellectual property, are owned by kōdo and its licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your subscription. All rights not expressly granted are reserved. "kōdo" and our logos are our trademarks; you may not use them without our permission.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL ALWAYS BE AVAILABLE OR ACCURATE. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF IMPORTANT DATA WHERE PRACTICAL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, kōdo AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You will defend, indemnify, and hold harmless kōdo and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, your messaging or marketing activities, or your violation of these Terms or any law or third-party right.
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or if your use poses a risk to the Service or others, or to comply with law. On termination, your right to use the Service ends. We may retain, archive, or delete Customer Data after termination as described in our Privacy Policy; where feasible, we will make reasonable efforts to allow you to export your Customer Data for a limited period.
We may modify the Service and may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new effective date or notifying you in the Service). Changes are effective when posted unless stated otherwise, and your continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of [GOVERNING STATE], United States, without regard to conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration will be the state or federal courts located in [COUNTY/STATE], and you consent to their jurisdiction. [OPTIONAL: Include an arbitration and class-action-waiver clause here if desired — confirm with counsel.] You and kōdo agree that any claim must be brought within one year after it arises, to the extent permitted by law.
These Terms and the Privacy Policy are the entire agreement between you and kōdo regarding the Service and supersede prior agreements on the subject. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures due to events beyond its reasonable control (force majeure). Nothing here creates a partnership, agency, or employment relationship.
